Terms of Service

Effective Date: January 1, 2025

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Attorney," "Subscriber," or "you") and CaseSignal.ai ("Company," "we," "us," or "our") governing your access to and use of the CaseSignal.ai platform, including our website, AI-powered estate planning intake tools, document generation features, and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

CaseSignal.ai provides:

  • AI-Powered Client Intake: Conversational AI tools that help collect estate planning information from your clients through voice and text interactions.
  • Client Portal: Secure invite-based access for your clients to provide information about their estate planning needs.
  • Document Generation: AI-assisted drafting of estate planning documents based on collected information.
  • Attorney Dashboard: Tools to review, edit, and manage client information and generated documents.

IMPORTANT: CaseSignal.ai is a tool to assist licensed attorneys. The Service does not provide legal advice and is not a substitute for the professional judgment of a licensed attorney. All AI-generated content must be reviewed, verified, and approved by a licensed attorney before use.

3. Eligibility and Account Registration

3.1 Attorney Subscribers

The Service is intended for use by licensed attorneys and law firms. By registering for an account, you represent and warrant that:

  • You are a licensed attorney in good standing in at least one U.S. jurisdiction, or you are an authorized representative of a law firm;
  • You have the authority to bind yourself or your firm to these Terms;
  • All registration information you provide is accurate and complete.

3.2 Client Users

Your clients may access the Service through invite links you generate. You are responsible for ensuring your clients understand that:

  • The Service is a tool used by their attorney;
  • Information they provide will be shared with you;
  • AI-generated content is not legal advice and requires attorney review.

4. Client Acceptance and Lead Management

4.1 Lead Generation

When you create an intake link and a prospective client ("Lead") completes the intake process, their information is collected and stored by CaseSignal.ai. Until you formally accept the Lead, you will have access only to limited summary information, including:

  • Lead name and contact information;
  • Intake completion percentage;
  • Document types requested;
  • General readiness indicators.

You do not have access to the complete intake data, transcripts, or detailed client information until you accept the Lead.

4.2 Client Acceptance

To gain full access to a Lead's intake data, you must formally accept the Lead through the Service. Acceptance through CaseSignal.ai constitutes:

  • Authorization for us to grant you full access to the Lead's intake data;
  • Agreement to pay the applicable per-client fee.

Upon acceptance, you receive full access to all collected information, transcripts, and the ability to generate documents.

Note: Acceptance through CaseSignal.ai does not itself establish an attorney-client relationship. You are responsible for establishing any attorney-client relationship through your own engagement processes, including any required engagement letters or fee agreements.

4.3 Pre-Acceptance Data

Prior to acceptance, Lead data is held by CaseSignal.ai as a data custodian. You have no ownership rights or access rights to the detailed Lead data until acceptance and payment. If you choose not to accept a Lead, their data will be retained according to our standard retention policy and may be deleted without providing you access.

5. Fees and Payment

5.1 Pricing

The Service may be offered under various pricing models, including but not limited to:

  • Per-Client Fee: A fee charged when you accept a Lead and gain full data access;
  • Monthly Subscription: A recurring fee for access to the Service (may include a number of client acceptances).

Current pricing is displayed in your account dashboard. We reserve the right to modify pricing with 30 days' notice.

5.2 Payment Terms

Per-client fees are due immediately upon acceptance of a Lead. Subscription fees are due at the beginning of each subscription period. All fees are non-refundable except as expressly stated in these Terms or required by law.

5.3 Access Contingent on Payment

Full access to client data is contingent upon successful payment. If payment fails, access may be suspended until payment is received.

6. Data and Privacy

6.1 Client Data Ownership

Clients own their personal information. When a Client provides information through the Service, they authorize its use as described in our Privacy Policy and the consent they provide during intake.

6.2 Attorney Data Rights

Before Acceptance: You have no ownership or access rights to detailed Lead data. CaseSignal.ai acts as data custodian, holding Lead data until you decide whether to accept.

After Acceptance: Upon acceptance and payment, you receive a license to access and use the Client's intake data for the purpose of providing legal services. You assume responsibility for maintaining appropriate records as required by your professional obligations.

6.3 Data Retention

Client data is retained for 90 days by default after the session ends or after Client acceptance. You may export transcripts and client data at any time during the retention period. At our discretion, data may be retained for up to 7 years for legal compliance, backup, or other legitimate business purposes.

IMPORTANT: You are solely responsible for exporting and maintaining your own records of client data to comply with your professional record-keeping obligations. We do not guarantee data availability beyond our stated retention period. Any legally required retention beyond our policy is your responsibility.

6.4 Data Processing

By using the Service, you authorize us to process Lead and Client data using AI models to provide the Service. Our data practices are described in our Privacy Policy.

7. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of professional ethics rules;
  • Attempt to reverse engineer, decompile, or extract source code from the Service;
  • Interfere with the security or integrity of the Service;
  • Use automated means to access the Service except as expressly permitted;
  • Resell or redistribute the Service without authorization;
  • Misrepresent AI-generated content as having been reviewed when it has not been.

8. Intellectual Property

The Service, including its software, design, and documentation, is owned by CaseSignal.ai and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

Documents generated by the Service using your client data belong to you, subject to your obligation to review and verify all content.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted or error-free;
  • AI-generated content will be accurate, complete, or suitable for any purpose;
  • The Service will meet your specific requirements.

You acknowledge that you are solely responsible for reviewing all AI-generated content and that you will not rely on such content without independent verification.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CASESIGNAL.AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $500.

11. Indemnification

You agree to indemnify, defend, and hold harmless CaseSignal.ai and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service;
  • Your violation of these Terms;
  • Your violation of any applicable law or regulation;
  • Any claim related to services you provide to your clients.

12. Termination

Either party may terminate this agreement at any time. Upon termination:

  • Your access to the Service will be revoked;
  • You should export any data you wish to retain before termination;
  • Provisions that by their nature should survive termination will survive.

We may suspend or terminate your access immediately if you violate these Terms or if required by law.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Wyoming, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Wyoming, and you consent to the personal jurisdiction of such courts.

14. Changes to Terms

We may modify these Terms at any time by posting the revised version on our website. Material changes will be communicated via email or through the Service. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

16. Entire Agreement

These Terms, together with our Privacy Policy and EULA, constitute the entire agreement between you and CaseSignal.ai regarding the Service and supersede all prior agreements and understandings.
